Terms of Service

Effective October 13, 2026 · Melanite Acquisitions, LLC

1. About these terms

These Terms of Service are the agreement between you and Melanite Acquisitions, LLC, the operator of AVANZA CRM, referred to as AVANZA, we, us, or our. You are contracting with Melanite Acquisitions, LLC. You can contact us at erik.uraje@gmail.com. These terms take effect on October 13, 2026.

By creating an account, accepting these terms, purchasing a subscription, or continuing to use the service, you agree to these terms to the extent permitted by law. If you act for a brokerage or other organization, you represent that you have authority to bind it. You must be at least 18 years old and legally able to enter a contract.

2. The service

AVANZA CRM provides software for real estate professionals to organize contacts, leads, tasks, opportunities, listings, transactions, calendars, and related business information. Available features depend on your plan and the integrations actually connected to your account.

An item displayed in the Inbox or Marketing section is not proof that an email or text was delivered. Message delivery, calendar synchronization, payment processing, and external integrations require a functioning connection to the relevant provider. The current assistant provides scripted suggestions rather than responses from a connected AI service.

AVANZA is not a real estate brokerage, attorney, accountant, lender, or escrow agent. Information and suggestions are not legal, tax, investment, or professional advice. You remain responsible for transaction deadlines, documents, communications, and independent verification of all output.

3. Accounts and security

Provide accurate account information, keep it current, protect your sign-in credentials, and promptly report suspected unauthorized use. Do not share credentials or attempt to access another customer’s workspace. You are responsible for authorized users and activities conducted through your account, subject to applicable law.

We may require email confirmation, review account eligibility, and restrict access when reasonably necessary to investigate misuse or protect the service. Approval does not replace any subscription or payment requirement disclosed at checkout.

4. Subscription fees and renewal

The standard plan has a setup fee and a monthly subscription charge, as displayed on our public Pricing page and at checkout. These are starting prices, not a promise that every plan will have the same price. Your checkout or written order must disclose the actual fees, applicable taxes, billing interval, any setup fee waiver, and renewal terms before you pay. Viewing our website does not authorize a payment.

If you purchase a recurring subscription and provide the required consent, it renews monthly at the disclosed rate until canceled. The setup fee and first month are due at initial purchase unless an offer says otherwise. You authorize the designated payment provider to collect agreed recurring charges. We do not receive your full card number when checkout is hosted by a payment provider.

Changes to our advertised prices apply to new subscriptions. Existing subscribers retain their agreed recurring price for the current billing period. We may change the recurring price for existing subscriptions by giving at least 30 days’ advance notice through the service or by email; the new price applies from the next renewal after the notice period, and you may cancel before it takes effect. A price change will not affect an already paid period.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are also governed by Paddle’s Buyer Terms at https://www.paddle.com/legal/checkout-buyer-terms.

5. Cancellation, refunds, and unpaid fees

You can cancel through Settings, Manage billing, or request assistance at erik.uraje@gmail.com or paddle.net. Cancellation stops future renewals once processed; unless otherwise disclosed or legally required, access continues through the paid subscription period. We will confirm the effective cancellation date. Contact us promptly if a cancellation request is not acknowledged.

We offer a 30-day money back guarantee. If you are not satisfied with your purchase, you can request a full refund within 30 days of your order date. Refunds are processed by our payment provider, Paddle. To request a refund, visit paddle.net or email erik.uraje@gmail.com. Statutory refund and cancellation rights are not waived.

A failed renewal allows the grace period disclosed for your account, normally seven days, before billing related suspension, unless law requires otherwise. Update your payment method through Manage billing to resolve a failed payment. An approved full refund ends the subscription and workspace access immediately. A partial refund does not by itself end access.

6. Your data and permission to process it

You retain ownership of the content and business records you submit. You grant AVANZA a limited permission to host, store, reproduce, transmit, and process that content only as needed to provide, secure, support, and maintain the service, follow your instructions, and comply with law. These terms do not transfer ownership of your contacts or listings to us.

You represent and warrant that you have the rights, permissions, and lawful basis needed to upload and use personal information, photos, listing descriptions, and other content, and that your content and its use through the service do not violate law or the rights of others. Do not upload Social Security numbers, full payment card details, medical information, or similarly sensitive information not necessary for ordinary CRM use.

Our Privacy Policy describes how we handle account information and customer records. When you upload information about clients, you generally determine the purposes of that processing and are responsible for any required privacy notices, consents, and responses to those clients.

7. Acceptable use and communications

Do not use AVANZA for illegal activity, fraud, harassment, discrimination, spam, malicious code, credential theft, unauthorized scraping or probing, security testing without permission, or attempts to bypass account isolation or service restrictions. Do not infringe copyrights, privacy rights, or the rights of others.

You are responsible for complying with applicable real estate licensing rules, fair housing requirements, advertising rules, the CAN-SPAM Act, the Telephone Consumer Protection Act, do-not-call requirements, and other privacy or communications laws. Obtain required permissions before contacting people, honor opt out requests, and include required sender identification and unsubscribe mechanisms. Storing a contact in AVANZA does not establish permission to market to that person.

8. External providers and automated suggestions

Connected services may be governed by their own terms and privacy policies. You choose whether to authorize integrations and are responsible for having the necessary accounts and permissions. We do not guarantee the availability or performance of external services.

The current assistant uses scripted suggestions. We will update our disclosures before introducing connected AI processing. Automated output can be inaccurate, incomplete, or biased. Review every draft and recommendation before relying on it or sending it to a client. No automated suggestion guarantees leads, closings, commissions, or business results.

9. Service ownership and availability

AVANZA and its licensors retain rights in the software, branding, design, and documentation. During an authorized subscription, you receive a limited, nonexclusive permission to use the service for your business. You may not resell access or copy proprietary parts of the service except as expressly permitted by law or a written agreement.

We may update features and conduct maintenance. We do not promise uninterrupted or error-free availability or a service level unless separately agreed in writing. We will provide reasonable notice of a material reduction in paid functionality where practicable and any remedies required by applicable law.

10. Suspension, termination, and records

We may suspend or terminate access for a material breach, unlawful activity, security risk, or unpaid fees under the applicable billing policy. Where practicable and appropriate, we will explain the reason and provide an opportunity to resolve the issue. Immediate action may be needed to protect users or comply with law.

After cancellation, contact erik.uraje@gmail.com within 30 days to request recovery, a copy of your records, or deletion. After that period we may delete workspace content without further notice, except as required by law. We retain records only as needed to fulfill these requests, operate the service, meet legal obligations, and resolve disputes. Keep your own copies; continued recovery access is not guaranteed.

Keep independent copies of important business records. Billing, tax, security, and dispute records may be retained for legal or legitimate operational purposes after workspace deletion.

11. Disclaimers and limits of liability

To the extent permitted by law, the service is provided “as is” and “as available” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement, and we do not warrant that the service or any output will be accurate, complete, uninterrupted, or error-free. Nothing excludes warranties or remedies that cannot lawfully be excluded.

Limits of liability: to the extent permitted by law, neither party is liable for indirect, special, incidental, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost commissions, or loss of data or goodwill, arising from or related to these terms or the service, even if advised of their possibility. AVANZA’s aggregate liability for all claims arising from or related to these terms or the service is limited to the subscription and setup fees you paid during the 12 months preceding the event giving rise to the claim. These limits do not apply to fraud, willful misconduct, your payment obligations, your indemnification obligations, or liability that cannot legally be limited.

Indemnification: to the extent permitted by law, you will defend, indemnify, and hold harmless Melanite Acquisitions, LLC and its members, managers, employees, and agents from third-party claims, penalties, and reasonable costs, including attorneys’ fees, arising from your content, your communications sent or stored using the service, your violation of these terms, or your violation of law, including real estate licensing, fair housing, CAN-SPAM, Telephone Consumer Protection Act, do-not-call, or privacy laws. We will promptly notify you of a claim and may participate with counsel of our choice.

12. Disputes, updates, and contact

Contact us first to seek an informal resolution of a dispute, and allow at least 30 days to resolve it before starting a proceeding. These terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law rules. Except where applicable law gives a consumer the right to bring a claim in another forum, any dispute will be resolved exclusively in the state or federal courts located in Chesterfield, Virginia, and each party consents to their jurisdiction. To the extent permitted by law, claims must be brought individually and not as a plaintiff or class member in any class or representative proceeding. Nothing in these terms waives mandatory consumer protections.

We will publish dated updates and notify customers of material changes through the service or email. Where consent is required, we will obtain it before applying the changes; otherwise, continued use of the service after an update takes effect constitutes acceptance. Any unenforceable provision is limited or removed only to the extent necessary, leaving the remaining lawful terms in effect. These terms, together with the policies they reference, are the entire agreement regarding the service. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control, other than payment obligations.
